Tidnum Terms of Use

1. About Tidnum and Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Tidnum, Inc. (“Tidnum,” “we,” “us,” or “our”) governing your access to and use of the Tidnum platform, including our website, mobile applications, APIs, and any other services we offer (collectively, “the Platform”). By accessing or using the Platform in any way, including browsing, creating an account, posting content, or purchasing a subscription, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any other policies referenced herein, including our Privacy Policy and Community Guidelines. If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility and Account Registration

Age Requirements. You must be at least 13 years of age to create an account on Tidnum. You must be at least 18 years of age, or have the express permission of a parent or legal guardian, to purchase a subscription on Tidnum. You must be at least 18 years of age to operate a paid creator page on Tidnum. By creating an account, you represent and warrant that you meet the applicable age requirements.

Account Information. When registering for an account, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate, current, and complete. Providing false or misleading information in connection with your account registration is a violation of these Terms and may result in immediate termination of your account.

Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify us immediately at legal@tidnum.com if you become aware of any unauthorized access to or use of your account. We will not be liable for any loss or damage arising from your failure to comply with these requirements.

Account Transferability. Your account is personal to you and may not be sold, transferred, or assigned to any other person or entity without our prior written consent.

3. Creators

3.1 Creator Pages

To become a creator on Tidnum, you must launch a creator page and configure your membership offering through the tools we provide. By launching a creator page, you agree to these Terms and to all additional policies applicable to creators. You are solely responsible for the content you post, the benefits you offer to subscribers, and your compliance with all applicable laws and regulations in connection with your use of the Platform.

3.2 Payments and Fees

Platform Fee. Tidnum charges a platform fee of six percent (6%) of all successfully processed subscription payments made to your creator page. This fee is automatically deducted from each transfer at the time of processing before funds reach your Stripe account.

Payment Processing. All payment processing on Tidnum is facilitated by Stripe, Inc. (“Stripe”) through its Stripe Connect Express service. Subscriber payments are collected by Tidnum and held on your behalf in a Stripe-managed account before being transferred to you. By using Tidnum's payment features, you agree to be bound by Stripe's Connected Account Agreement, which includes Stripe's Terms of Service, as may be amended by Stripe from time to time. Payment processing fees are governed by your agreement with Stripe. Tidnum has no control over and assumes no liability for Stripe's payment processing decisions.

Payout. Creator earnings accumulate in your Tidnum balance and become eligible for withdrawal once they have cleared a 7-day holding period. You may request a payout to your connected bank account at any time once your available balance meets the minimum payout threshold of $50.00. Tidnum does not charge creators any additional fee for payouts. Payout timing after initiation is subject to standard bank processing times and Stripe's transfer policies. In the event that we have reason to believe your account has violated these Terms or any applicable law, we reserve the right to suspend or delay payouts pending investigation.

Negative Balances. In the event that chargebacks, refunds, or fraudulent transactions result in a negative balance in your Tidnum account, you are responsible for covering that deficit. Tidnum reserves the right to recover any negative balance from future earnings before making funds available for payout, and to suspend payouts until the balance is resolved. To the extent Tidnum has collected a platform fee on a transaction that is subsequently reversed, we reserve the right to recover that amount from future earnings.

3.3 Taxes

As the platform through which payments are processed, Tidnum may be required to issue IRS Form 1099-K or other tax reporting documents to creators who meet applicable reporting thresholds under federal or state law. By using the Platform, you agree to provide accurate tax identification information as requested, including through Stripe's onboarding process. You are solely responsible for determining, reporting, and paying any and all income taxes, self-employment taxes, and any other taxes or levies imposed by any governmental authority on income you earn through Tidnum. Tidnum does not act as a tax withholding agent except where required by law.

3.4 Creator Responsibilities

You agree that you will: (a) deliver the benefits and content that you represent to subscribers as part of your membership offering; (b) not engage in any deceptive, misleading, or fraudulent conduct in connection with your creator page or your interactions with subscribers; (c) comply with all applicable laws and regulations in connection with your use of the Platform and the operation of your creator page; and (d) not use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform.

3.5 Subscriber Data

To the extent you receive any personal data about subscribers through the Platform, you agree to handle such data in accordance with applicable privacy laws and our Data Processing Agreement, which is incorporated into these Terms by reference.

4. Subscribers

4.1 Subscriptions

As a subscriber, you may purchase a paid membership subscription to a creator's page, which entitles you to access the content and benefits made available by that creator at the subscription tier you select. Subscriptions are offered on a monthly or annual automatically renewing basis, as specified at the time of purchase. By purchasing a subscription, you authorize us and our payment processor to charge your designated payment method on a recurring basis at the then-current subscription rate until you cancel.

4.2 Billing and Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date through your account settings. The amount charged at renewal may change with prior notice to you, including as a result of a creator adjusting their subscription pricing. We will notify you of any material changes to the amount you will be charged before such changes take effect.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to the creator's content and benefits through the end of that period. Cancellation of your subscription may result in the loss of access to subscriber-only content and benefits provided by the creator.

4.4 Loss of Access

In addition to cancellation, you may lose access to a creator's content and benefits in the following circumstances, without limitation: (a) your payment method fails and cannot be recovered; (b) your account is suspended or terminated; (c) the creator blocks you or removes you from their subscriber list; (d) the creator discontinues their membership offering or deletes their Tidnum account; (e) the creator modifies who has access to particular content or benefits; (f) we remove the creator from the Platform; or (g) we remove particular content or benefits from the Platform. We are not required to ensure your continued access to any particular creator, content, or benefit.

4.5 Refunds

Subscribers who wish to request a refund should submit a request through the Platform's refund request feature. Refund requests are sent to the creator for review. The decision to approve or deny a refund request rests with the creator; however, Tidnum reserves the right to intervene and issue a refund at its discretion in cases of fraud, platform error, or creator misconduct. Approved refunds are processed by Tidnum through Stripe and returned to the subscriber's original payment method, minus the original payment processing fee (2.9% + $0.30). Tidnum's platform fee is non-refundable in all circumstances. If you believe you have been charged in error, contact support at legal@tidnum.com.

5. Content and Intellectual Property

5.1 Ownership

Creators retain full ownership of all content they post on Tidnum. Subscribers retain full ownership of all content they post on Tidnum. Nothing in these Terms transfers any intellectual property rights from you to us.

5.2 License Grant to Tidnum

By posting any content on Tidnum, you grant us a royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, worldwide license to host, store, reproduce, copy, distribute, transmit, publicly display, perform, and prepare derivative works of your content in all formats and through all channels now known or hereafter developed, solely to the extent necessary to operate, maintain, and provide the Platform and its services. For the avoidance of doubt, we will not use your content for any purpose beyond the operation of the Platform, and we will not sell, license, or otherwise exploit your content for our independent commercial gain.

5.3 Subscriber License

Subject to your continued compliance with these Terms and full payment of all applicable subscription fees, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the content made available to you through your subscription, solely for your own private, personal, non-commercial use. You may not reproduce, distribute, publicly display, or otherwise exploit any creator's content beyond what is expressly permitted by these Terms or by the creator in writing.

5.4 Your Representations

By posting content on Tidnum, you represent and warrant that: (a) you own or have obtained all necessary rights, licenses, and permissions to post such content and to grant the licenses described in these Terms; (b) your content does not and will not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or any other applicable rights; and (c) your content complies with these Terms and all applicable laws.

5.5 Feedback

Any feedback, ideas, suggestions, bug reports, or other communications you provide to us regarding the Platform are provided on a non-confidential basis, and you hereby assign to us all right, title, and interest in and to such feedback. We may use such feedback for any purpose without compensation or attribution to you.

6. Prohibited Content and Conduct

You agree not to post, upload, transmit, or otherwise make available through the Platform any content, and not to engage in any conduct, that:

  1. is sexually explicit, contains nudity, or is otherwise pornographic in nature;
  2. constitutes, depicts, promotes, or in any way involves child sexual abuse material (“CSAM”) or the sexual exploitation or abuse of minors in any form. This prohibition is absolute and admits no exception. Tidnum is legally required to report any known or suspected CSAM to the National Center for Missing and Exploited Children (“NCMEC”) via the CyberTipline at cybertipline.org, and to law enforcement as required by 18 U.S.C. § 2258A. Any account found to have posted, distributed, or solicited such material will be immediately and permanently terminated and reported to the relevant authorities;
  3. is illegal under any applicable federal, state, local, or international law or regulation;
  4. harasses, threatens, intimidates, defames, or abuses any individual or group;
  5. infringes upon or misappropriates any third party's intellectual property rights, including copyrights, trademarks, trade secrets, or patents;
  6. violates any person's privacy or publicity rights, including by posting personally identifiable information about another person without their consent;
  7. is intentionally deceptive, fraudulent, or misleading;
  8. contains malicious code, viruses, or any other software or material designed to disrupt, damage, or gain unauthorized access to any system or data;
  9. depicts, promotes, or glorifies violence, abuse, or harm toward any person or animal;
  10. constitutes unauthorized advertising, spam, or solicitation; or
  11. otherwise violates these Terms or our Community Guidelines.

Tidnum does not actively pre-screen all content posted to the Platform but reserves the right to review, remove, or disable access to any content at our sole discretion and without prior notice. We rely in part on user reports to identify potential violations. You may report content that you believe violates these Terms through the reporting tools available on the Platform. We will investigate reports and take such action as we deem appropriate, up to and including removal of content and termination of accounts. Our decision regarding any reported content is final.

7. Termination and Suspension

7.1 Termination by You. You may delete your Tidnum account at any time through your account settings. Upon deletion, your creator page and any associated content may be removed from the Platform. Termination of your account does not entitle you to any refund of fees paid.

7.2 Termination by Us. We reserve the right to suspend or permanently terminate your account, remove your creator page, cancel any active subscriptions associated with your account, and remove any content you have posted, at any time and at our sole discretion, with or without notice, including but not limited to for violation of these Terms, conduct that we believe is harmful to other users or to the Platform, or for any legal or regulatory reason. You may not bring any claim against us for suspending or terminating your account or another user's account. Upon termination of a creator account, any available balance that has cleared the holding period will be paid out to the creator's connected bank account, subject to any amounts owed to Tidnum for chargebacks, refunds, or fees. Amounts still within the holding period at the time of termination may be withheld pending chargeback resolution.

7.3 Effect of Termination. Upon termination of your account for any reason, the licenses you have granted to us under these Terms will terminate with respect to future use, provided that we may retain copies of your content as required by law or for legitimate business purposes. All provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 5, 8, 9, 10, and 11.

8. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIDNUM EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT AVAILABLE ON THE PLATFORM.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TIDNUM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES EARNED BY TIDNUM THROUGH YOUR USE OF THE PLATFORM IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless Tidnum and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Platform; (b) your violation of these Terms or any applicable law or regulation; (c) your content, including any claim that your content infringes or misappropriates any third party's rights; or (d) your interactions with any other user of the Platform. We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with these Terms or the Platform, whether in contract, tort, statute, or otherwise, will be governed by and construed in accordance with the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law provisions. You and Tidnum irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Minnesota for the resolution of any such dispute or claim. EACH PARTY HEREBY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.

12. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Tidnum with respect to the Platform and supersede all prior and contemporaneous agreements, representations, and understandings between you and Tidnum.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid, illegal, or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable.

Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision unless acknowledged and agreed to by us in writing.

Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Amendments. We reserve the right to modify these Terms at any time. If we make a change that we determine, in our sole discretion, to be material, we will provide notice to you prior to the change taking effect, such as by sending an email to the address associated with your account or by posting a notice on the Platform. Your continued use of the Platform following notice of any amendment constitutes your acceptance of the amended Terms.

No Partnership. Nothing in these Terms creates or implies any partnership, joint venture, agency, franchise, or employment relationship between you and Tidnum.
