1. Parties
These Terms of Service (these "Terms") constitute a binding agreement between you and TIDNUM of Minnestoa, United States ("Company," "we," "us," or "our"), operator of the Tidnum platform (the "Service"). By creating an account, you accept and agree to be bound by these Terms. If you do not agree, you must not access or use the Service. Our Privacy Policy is incorporated herein by reference.
2. Account Registration
You must provide a valid email address and be at least 13 years of age to register for an account. You are solely responsible for all activity occurring under your account, including safeguarding your login credentials. You agree to notify us promptly upon becoming aware of any unauthorized use of your account.
3. Ownership and License Grant
You retain all right, title, and interest in and to your chapters and any content Tidnum derives therefrom, including generated entries, articles, and wiki content ("Your Content"). We claim no ownership interest in Your Content, and no provision of these Terms shall be construed to transfer any such interest to us.
You hereby grant us a limited, non-exclusive, revocable license to: (a) store Your Content; (b) transmit Your Content to a third-party AI provider for analysis and summarization (see Privacy Policy §4); (c) display generated outputs to you; and (d) for entries you affirmatively designate for publication, make such entries publicly accessible via your wiki. This license is granted solely for the purpose of operating the Service and terminates automatically upon deletion of the applicable content or account.
We will not: (i) sell Your Content; (ii) publish Your Content absent your instruction; (iii) use Your Content to train our proprietary models; or (iv) use Your Content for advertising purposes.
4. Acceptable Use
You represent and warrant that you hold all necessary rights to any content you upload. Without limiting the foregoing, you shall not use the Service to:
(a) upload a manuscript belonging to a third party, or any content that infringes the intellectual property rights of any person;
(b) store content that is unlawful in your jurisdiction or ours, including any sexual content involving minors;
(c) publish wiki content that harasses an identifiable individual or misattributes authorship of another's work;
(d) circumvent, disable, or place undue burden on the Service's technical limitations, including the credit system; or
(e) resell the Service or use it to develop a competing product.
For the avoidance of doubt, fictional content involving dark or mature themes is not, by itself, a violation of this Section. This Section is directed at the misappropriation of third-party work and harm to real individuals, not the content of your fiction.
5. Subscription Plans, Credits, and Payment
(a) Credits. Credits represent the unit of account for AI-assisted services. Each subscription plan includes a monthly credit allowance that resets on your billing anniversary date; unused monthly credits do not carry over to subsequent periods.
(b) Credit Packs. Credit packs may be purchased separately, do not expire, and are applied only after the monthly allowance has been exhausted.
(c) No Overage Billing. Exhaustion of available credits results in the suspension of AI-assisted actions only; we will not bill you for usage in excess of your allowance.
(d) Payment Processing. Payments are processed by Stripe, Inc. Subscriptions renew automatically at the interval selected until cancelled.
(e) Cancellation. Cancellation is effective at the end of the then-current billing period. No partial-period refunds or proration will be issued. Subscriptions may be managed or cancelled at any time via Billing settings.
(f) Failed Payments. Failed payments will be retried by Stripe. Accounts with persistent payment failure will be downgraded to the free tier; no content will be deleted as a result.
(g) Refunds. Requests submitted within seven (7) days of a charge, where less than twenty percent (20%) of the applicable period's credit allowance has been used, will be honored upon request to legal@tidnum.com. Refunds outside this window are not guaranteed but may be considered on request. Nothing in this Section limits any statutory refund rights available to you under applicable law.
(h) Price Changes. Changes to subscription pricing take effect upon your next renewal following at least 30 days' prior email notice. Free-tier limits are subject to change.
6. Fair Use Limitations
To maintain the affordability and stability of the Service, we impose certain usage limitations, including a daily cap on manuscript volume processed per account, a daily cap on AI operations for free-tier accounts, and other technical ceilings designed to prevent excessive resource consumption. Actions blocked by these limitations will not consume credits. We reserve the right to modify these limitations and will provide notice of any material reduction affecting paid subscribers.
7. AI-Generated Content; Disclaimer
The Service employs artificial intelligence models to analyze chapters and generate draft entries. Such models are subject to error, including misattribution, conflation of characters, and fabrication of content not present in the source material. All AI-generated output constitutes a draft only, and you bear sole responsibility for reviewing such output prior to any publication or reliance thereon.
Credit consumption occurs upon execution of an AI-assisted action, irrespective of your satisfaction with the resulting output, as such credits compensate for computational work performed. You retain the ability to regenerate or manually edit any generated content.
8. Public Wikis and Custom Domains
Publication of a wiki renders the selected entries accessible to any party possessing the corresponding link. You bear sole responsibility for content you elect to publish. Content may be unpublished at any time; however, we do not control, and are not responsible for, cached or indexed copies retained by third-party search engines following unpublication.
Certain subscription tiers permit hosting of your wiki on a custom domain. You are solely responsible for domain registration and DNS configuration; our ability to serve content on a custom domain is contingent on proper DNS configuration and the wiki remaining in published status.
9. Service Availability
The Service is provided on a commercially reasonable efforts basis. We do not warrant uninterrupted availability or guarantee against data loss, and no uptime service level is guaranteed under these Terms. Third-party AI providers may experience outages, impose rate limits, or modify or discontinue underlying models without notice to us. We reserve the right to modify or discontinue features of the Service. In the event of a full discontinuation of the Service, we will provide reasonable advance notice and a mechanism for content export.
You are solely responsible for maintaining independent backup copies of your manuscript. The Service is a supplementary tool and should not constitute the sole repository of your work.
10. Disclaimer of Warranties; Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Certain jurisdictions do not permit the exclusion or limitation of certain warranties or damages; to the extent such jurisdiction's law applies to you, the foregoing exclusions and limitations may not apply, and nothing herein limits any non-waivable consumer protection rights available under applicable local law.
11. Term and Termination
You may terminate this agreement at any time by cancelling your subscription, deleting your novels, or requesting account deletion. We reserve the right to suspend or terminate accounts that violate Section 4, fail to maintain current payment, or are used in a manner harmful to the Service or its users. Except in cases of serious or repeated violation, we will provide prior notice and a reasonable opportunity to export your content before termination.
12. Governing Law; Amendment
These Terms are governed by the laws of United States of America, without regard to conflict-of-laws principles, and the courts of that jurisdiction shall have exclusive jurisdiction over any dispute arising hereunder. If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force and effect.
We may amend these Terms from time to time. Material changes will be notified within the Service and presented to you the next time you sign in; continued use of the Service following such notice constitutes acceptance of the amended Terms. Questions regarding these Terms may be directed to legal@tidnum.com.
